Internal governance and policies

At NP3, good governance is about more than rules and procedures – it’s about trust. With clear processes and transparent information management, we build confidence among our employees, shareholders, and partners.

In line with the Swedish Companies Act, NP3’s Board of Directors has the overall responsibility for the company’s internal governance and control. To ensure effective management, the Board has adopted several key documents, including Board´s  Rules of Procedure, CEO Instructions, and the Insider Policy.

Responsibilities and Follow-up

The CEO is responsible for maintaining and developing the company’s control environment in daily operations. This work is continuously monitored through regular reporting to the Board, and at each meeting, up-to-date financial and operational reports are presented. This ensures a transparent and well-functioning governance process.

Information management

To make sure everyone at NP3 understands and follows our internal rules, we maintain clear policy documents that guide how we share and manage information. These outline how we handle market-sensitive information and the obligations that apply to individuals working within a listed company.
We also have established routines for managing non-public information, along with a logbook that ensures all such information is documented and handled correctly and responsibly.
